If you are entering into these terms on behalf of a company, organization, or industrial facility, you represent that you have the authority to bind such entity.
2. Description of Service
AUTONEXE provides an autonomous operations infrastructure—a software orchestration layer designed to connect, coordinate, and manage autonomous machines, sensors, and workflows in real-world environments (e.g., warehouses, factories, facilities).
3. Autonomous Systems & Operational Responsibility
Software Orchestration vs. Physical Operations: AUTONEXE provides the software intelligence and coordination layer. We do not manufacture the physical robots or hardware. You acknowledge and agree that:
- You retain ultimate responsibility for the safety, deployment, and physical environment of your facility.
- AUTONEXE is not liable for hardware failures, physical collisions, property damage, or injuries resulting from the operation of third-party machines.
- You must ensure all autonomous systems are operating in compliance with local safety regulations and manufacturer specifications.
- You are responsible for correctly mapping geofenced safe zones, restricted areas, and emergency stop protocols within the Platform.
4. Acceptable Use & Account Responsibilities
You are responsible for all activity occurring under your organization's account. You agree not to:
- Use the Platform to operate machines in a manner intended to cause harm, destruction, or bypass safety protocols.
- Reverse engineer, decompile, or attempt to extract the source code or computer vision models of the Platform.
- Transmit any viruses, malware, or destructive code to the Platform.
- Interfere with the performance or security of the Platform or the centralized fleet intelligence networks.
5. Intellectual Property
AUTONEXE retains all rights, title, and interest in and to the Platform, including all software, algorithms, workflow logic, analytics models, and visual interfaces. You retain all rights to your specific operational data and digital facility maps, subject to a license granted to us to provide, improve, and optimize the Service.
6. Third-Party Integrations
The Platform may integrate with third-party software (e.g., WMS, ERP systems) and hardware (e.g., AMRs, AGVs, sensors). AUTONEXE does not warrant or endorse these third-party systems and is not responsible for data loss or operational disruption caused by third-party failures.
7. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. AUTONEXE SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE OR THAT IT WILL PREVENT ALL OPERATIONAL EXCEPTIONS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL AUTONEXE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, FACILITY DOWNTIME, OR HARDWARE REPLACEMENT COSTS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
